These Terms of Service ("Terms") govern your access to and use of the Nakoa review-management platform at nakoa.ai and app.nakoa.ai (the "Service"), provided by Nakoa AI LLC ("Nakoa," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and authorized to act on behalf of the business you register. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for all activity under your account. Notify us promptly at legal@nakoa.ai of any unauthorized use.

Features and supported platforms may change over time. Some platforms allow full automated posting, while others support monitoring and draft responses only; available functionality depends on each platform's policies and APIs.
To use certain features, you connect third-party accounts (such as your Google Business Profile) and authorize Nakoa to access them on your behalf. You represent that you have the right to connect those accounts and to authorize our access. Your use of third-party platforms remains subject to those platforms' own terms. You can disconnect a platform at any time in your settings.
You retain ownership of the content you provide and the responses you publish. You grant Nakoa a limited license to access, process, and transmit your content and connected-platform data solely to provide the Service.
You are responsible for the responses published to your reviews, including AI-assisted drafts you approve or that are posted under automation rules you enable. AI-generated drafts may contain errors or inappropriate content; you are responsible for reviewing responses before they are published, and for the settings you choose if you enable automated posting. You agree to use the Service in compliance with applicable laws and the policies of any connected platform, and not to use it to post unlawful, deceptive, harassing, or fraudulent content, or to manipulate reviews in violation of a platform's rules.
Paid plans are billed in advance on a recurring basis through our payment processor. Unless stated otherwise, fees are non-refundable except as required by law. We may offer free trials; at the end of a trial, your plan converts to a paid subscription unless you cancel. You can cancel at any time, and cancellation takes effect at the end of the current billing period. We may change pricing with advance notice; changes apply to subsequent billing periods.
You agree not to: (a) reverse engineer, scrape, or attempt to gain unauthorized access to the Service; (b) use the Service to violate any law or any third-party platform's terms; (c) interfere with or disrupt the Service; (d) resell or provide the Service to third parties except as expressly permitted; or (e) use the Service to generate or post content that is unlawful, misleading, or abusive.
The Service, including its software, design, and content (excluding your content and your connected-platform data), is owned by Nakoa and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us, other users, or third parties. Upon termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate or suitable. We are not responsible for the availability, accuracy, or policies of third-party platforms.
To the maximum extent permitted by law, Nakoa and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.
You agree to indemnify and hold harmless Nakoa from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights, including any connected platform's terms.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Hawaii, United States, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Honolulu, Hawaii, unless otherwise required by applicable law.
